Delivery and Payment Terms (AGB)
- Binding Nature
For orders placed with Herolab GmbH Laborgeräte and deliveries made by Herolab GmbH Laborgeräte, only the following delivery and payment terms shall apply. This applies in particular even if the purchaser’s terms of purchase state otherwise. Deviations are valid only if they have been expressly confirmed in writing by Herolab GmbH Laborgeräte. An order (placement of order) is only considered accepted if it has been confirmed in writing by Herolab GmbH Laborgeräte. - Payment Terms
Deliveries are to be paid net within 30 days from receipt of invoice or in advance. Cash discounts are not permitted. Payments for deliveries abroad must be made by irrevocable letter of credit. Bank and transfer fees are borne by the purchaser. The legal rules apply regarding the consequences of payment default. Payments must be made regardless of any asserted defects, unless the defect claims are unquestionably justified. - Delivery Time
Stated delivery dates are non-binding unless the delivery contract expressly declares them binding. Herolab GmbH Laborgeräte shall only be in default of delivery after a written reminder and a reasonable grace period have been set. Any liability claims against Herolab GmbH Laborgeräte arise only in accordance with the liability provisions set out in Section 6. - Complaints
To maintain warranty claims, the purchaser must inspect the goods immediately upon delivery, report any damage to the transport company, record the damage together with the transport company, and lodge a written complaint with Herolab GmbH Laborgeräte. Obvious defects or shortages must be reported within five working days. - Transfer of Risk
The purchaser bears the risk of delivery (deterioration, loss, or destruction of the goods). The risk transfers to the purchaser as soon as the goods leave the premises of Herolab GmbH Laborgeräte. - Warranty
The warranty begins upon receipt of the goods. If commissioning was ordered, it begins after commissioning. In the case of delayed commissioning, the warranty begins no later than four weeks after receipt of the goods, unless the supplier is responsible for the delay. - Third-Party Intellectual Property Rights
Herolab GmbH Laborgeräte does not guarantee that the use of the goods will not infringe the industrial property rights of third parties. The purchaser is solely responsible for the legality of the products he manufactures. - Retention of Title
The delivered goods remain the property of Herolab GmbH Laborgeräte until all claims arising from the business relationship with the purchaser have been fulfilled. In the event of payment default or culpable deterioration of the goods, Herolab GmbH Laborgeräte may demand the return of the delivered goods. Such a demand for return is only considered a withdrawal from the contract if Herolab GmbH Laborgeräte expressly declares it as such. - Export
Devices and goods delivered by Herolab GmbH Laborgeräte may only be forwarded to another country other than the one in which the purchaser’s (business) location is situated with prior written approval. - Place of Performance and Jurisdiction
The sole place of performance is Wiesloch. The place of jurisdiction for all legal disputes is the competent court at the registered office of Herolab GmbH Laborgeräte – Wiesloch. Herolab GmbH Laborgeräte reserves the right to sue the purchaser at his (business) location.
* The warranty period for laboratory centrifuges and related equipment is two years. Glass breakage, clogging damage, and damage to consumable parts such as light sources, seals, and valves are excluded from the warranty.
The warranty is limited to repair or replacement. Any transport costs incurred must be borne by the purchaser. If the repair or replacement fails, the purchaser may demand cancellation of the contract or a reduction in the purchase price. Upon receipt of the repaired or replaced goods, the purchaser must immediately inspect them and notify Herolab GmbH Laborgeräte in writing of any defects. Non-obvious defects must be reported no later than 10 days after delivery.
Die Herolab GmbH Laborgeräte haftet nur für Schäden, die sie oder ihre Erfüllungsgehilfen vorsätzlich oder grob fahrlässig verursacht haben, sowie für die leicht fahrlässige Verletzung wesentlicher Vertragspflichten. Die Verpflichtung zum Schadensersatz umfasst nur unmittelbare, vorhersehbare Schäden. Die Haftung wegen der Verletzung wesentlicher Vertragspflichten, die Haftung für Personenschäden, die Haftung nach den Vorschriften des Produkthaftungsgesetzes und die Haftung wegen des Fehlens einer von der Herolab GmbH Laborgeräte garantierten Beschaffenheit bleiben unberührt.
German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
